1. LEGAL FRAMEWORK AND BINDING AGREEMENT
1.1. These Terms and Conditions (the “Terms”) constitute a legally binding agreement between Hair and Beauty Trader (“the Company”, “We”, “Us”, “Our”), the owner and operator of
www.hairandbeautytrader.co.uk(“the Website”), and any individual, corporate body, salon entity, brand representative, or sole trader who accesses, registers, or publishes content on the Website (“the User”, “the Advertiser”, “You”).1.2. By accessing the Website, setting up an account, uploading any digital material, or interacting with a published advertisement, you irrevocably accept these Terms in full. If you disagree with any part of these corporate terms, you must immediately cease all use of the Website and its infrastructure.
1.3. We reserve the absolute right to amend, alter, or replace these Terms at any time without prior individual notice. It remains your sole responsibility to check this page periodically for updates. Continued use of the platform following modifications constitutes full, legal acceptance of the updated Terms.
2. SERVICE NATURE: STRICT DEFINITION AS A PASSIVE DIGITAL VENUE
2.1. No Intermediary Status: The Website functions strictly, purely, and exclusively as an unmoderated, passive digital classified directory and advertising infrastructure provider for the hair, beauty, and salon industries.
2.2. No Property Rights or Custody: At no point does the Company take legal title, physical custody, possession, ownership, or control of any item, product, consumable, furniture piece, electrical appliance, or salon asset displayed within the listings on our servers.
2.3. Exclusion from the Chain of Sale: The Company is not an auctioneer, broker, commercial agent, or retail middleman. We do not participate in, oversee, track, verify, or record the negotiation, execution, fulfilment, or conclusion of any transaction initiated via a listing on the Website.
2.4. Invitation to Treat: Every listing published on the Website constitutes an “invitation to treat” under English common law. It is not a legally binding offer to sell by the Website or the Company. Any contract of sale is formed completely off-site, purely between the independent buyer and the independent seller.
3. TOTAL EXCLUSION OF LIABILITY, INDEMNITY, AND SCAM PROTECTION
3.1. Absolute Limitation of Liability To the maximum extent permitted by applicable law in the United Kingdom, the Company, its directors, officers, employees, agents, and parental entities shall not be held liable under any circumstances for any direct, indirect, incidental, punitive, special, exemplary, or consequential damages, losses, or costs whatsoever. This includes, without limitation, losses resulting from:
Online scams, phishing, bank transfer fraud, identity theft, or deceptive practices executed by users off-site.
Financial loss, loss of profits, loss of business opportunity, loss of contract, or loss of commercial reputation.
Physical injury, property damage, or salon operational downtime caused by faulty, counterfeit, unsterilized, unverified, or hazardous salon equipment or cosmetic items purchased via independent contact.
System outages, hosting server downtime, or data corruption or loss uploaded to our platform.
3.2. No Verification, Warranty, or Endorsement The Company gives no warranties, representations, guarantees, or conditions—whether express, statutory, or implied—regarding any asset listed on the Website. We do not inspect, test, certify, vet, or confirm:
The mechanical safety, electrical compliance (such as PAT testing requirements), or operational function of salon equipment.
The authenticity, shelf-life, formulation, batch safety, or intellectual property rights of professional cosmetics, hair colourants, or chemical solutions.
The truthfulness, accuracy, completeness, or legality of the claims made within any text description or accompanying photograph.
The true identity, financial solvency, creditworthiness, or honest intent of any buyer or seller using the directory.
3.3. Comprehensive Indemnity Clause The Advertiser agrees to fully indemnify, defend, and hold harmless the Company and its representatives against any claims, civil lawsuits, damages, enforcement liabilities, legal fees, and operational costs arising from:
Any breach of these Terms by the Advertiser.
Any claim of trademark infringement, copyright theft, patent violation, or passing-off brought by a third-party manufacturer or brand owner relative to images or text uploaded by the Advertiser.
Any regulatory or statutory penalties levied against the platform due to misleading descriptions, pricing field manipulation, or the listing of restricted professional-only beauty chemicals.
4. ADVERTISER RESPONSIBILITIES, PRICING, AND CONTENT STANDARDS
4.1. Accuracy of Data Entry: Advertisers must accurately declare complete, transparent financial pricing in the designated numerical fields. Manipulating data fields (such as inserting artificially low pricing like “£1” to systematically manipulate search filters, or stacking irrelevant hair/beauty keywords into descriptions to hijack unrelated search parameters) is strictly prohibited.
4.2. Intellectual Property Compliance: Advertisers must own the full copyright or possess explicit, written commercial licensing for every image, brand logo, and text layout uploaded to their listings. You are strictly forbidden to copy stock imagery from official beauty manufacturers or to download images from other salons’ websites without permission.
4.3. System Security and Abuse: Users are strictly prohibited from implementing or executing automated software scripts, web crawlers, data extraction macros, screen scrapers, or AI scraping tools on the Website without our express, prior written authorisation. You must not attempt to bypass our server security walls, inject malicious scripts, or reverse-engineer the core platform code.
5. INFRASTRUCTURE CONTROL AND SUSPENSION RIGHTS
5.1. The Company reserves the unconditional, discretionary right—without the burden of proof or liability for damages—to refuse, delete, edit down, reformat, or permanently remove any listing, or to instantly suspend, block, or permanently delete any user profile, IP address subnet, or email domain from the platform.
5.2. Reasons for immediate termination include, but are not limited to: user reports of suspicious or deceptive behaviour; suspected counterfeit listings; listing items banned by UK regulatory bodies; multiple account creations to manipulate directory rankings; or behaviour deemed detrimental to the smooth running of the marketplace.
5.3. If an account is forcibly deactivated due to a suspected breach of these Terms, no refunds, platform credits, or directory placement reimbursements will be issued for active listings.
